Terms and Conditions of Sale

These Terms and Conditions of Sale (“Terms”) apply to all sales of products (“Goods”) by Dycotec Materials Ltd (“Dycotec”, “we”, “our” or “us”) to any customer (“Customer”) unless otherwise agreed in writing. By placing an order with Dycotec, the Customer agrees to be bound by these Terms.

1. Orders and Acceptance

All orders are subject to acceptance by Dycotec. An order is only accepted when confirmed in writing by us. We reserve the right to refuse any order at our sole discretion.

2. Prices and Payment

Prices are quoted in GBP unless otherwise stated and are exclusive of VAT, duties, shipping, and insurance. Payment is due within thirty (30) days of the invoice date unless agreed otherwise in writing. Late payments may incur interest at 4% per annum above the Bank of England base rate.

3. Delivery

Unless otherwise agreed in writing, delivery shall be DAP Incoterms® 2020. from Dycotec’s premises. Title and risk pass to the Customer upon collection or dispatch. Where Dycotec arranges delivery, shipping costs will be invoiced separately, and any delivery dates provided are estimates only. Dycotec shall not be liable for any delay or failure in delivery due to circumstances beyond its reasonable control.

4. Title and Risk

Risk in the Goods passes to the Customer upon delivery. Title to the Goods remains with Dycotec until full payment is received.

5. Returns and Cancellations

Goods may not be returned without prior written approval. Customised or made-to-order Goods cannot be returned. Orders may not be cancelled once accepted without written agreement and may be subject to cancellation charges.

6. Specifications and Warranty

Dycotec warrants that the Goods will conform to the specifications stated in the applicable product datasheet for the stated duration under normal use and storage conditions. Dycotec’s liability is limited to replacement of defective Goods or refund of the purchase price, at our discretion. This liability excludes defects resulting from misuse, improper handling, unauthorised modification, or failure to follow recommended storage or usage conditions.

7. Limitation of Liability

To the fullest extent permitted by law, Dycotec shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or business. Our total liability under any claim shall not exceed the price paid for the Goods giving rise to the claim.

8. Intellectual Property

All intellectual property rights in the Goods and any related documentation or materials remain the property of Dycotec. No rights are transferred or implied by the sale of Goods.

9. Compliance and Use

The Customer is responsible for ensuring the suitability of the Goods for their application and for compliance with applicable laws and regulations. The Goods are not intended for use in life-critical or medical implant applications unless agreed in writing.

10. Force Majeure

Dycotec shall not be liable for failure or delay in fulfilling its obligations due to events beyond its reasonable control, including but not limited to natural disasters, acts of government, supply chain disruptions, labour disputes, or transport delays.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
